Manipulation or Depression?

Manipulation or True Depression that needs help?
My 15 year old son has for the last couple years been not very happy and lately very depressed. We assume because he's losing his electronics because of poor grades. We agreed, we would stay out of his homework but at the end of the semester if he doesn't have a B average, he would lose his electronics (video games, cell phone, laptop). Well we are one week away from school ending and he has about 20 missing assignments. A B is not possible and now he is falling apart (crying, grumpy, mad), being depressed and says he needs counseling. Is this Manipulation or Depression? He doesn't eat much, sleeps a lot and is not taking care of himself very well. Where is the line between seeking help for Depression and Manipulation?
